Constitution

The name of the organisation shall be Kilwinning Community Sports Club here in after referred to as the club.

OBJECTS

The objects of the club shall be to promote the benefit of the inhabilitants of Kilwinning and its environs without distinction of sex, sexuality, political, religious or other opinions by associating the local authorities, education and to provide facilities, or assist in the provision of facilities, in the interest of special welfare for recreation and other leisure – time occupation so that their conditions of life may be improved.   In furtherance of these objects, but not otherwise, the Club shall seek

  • To increase access to sports/leisure opportunities for the inhabilitants of North Ayrshire.
  • To develop local accessible sporting and leisure opportunities on thereby encourage a more positive, health lifestyle; and
  • To develop social education programmes that reflect the principles and policies of the Club.

POWERS:  

The Club will have the following developed powers.

  • Recruit and employ staff.
  • Source appropriate funding that advances the objects of the club.
  • Promote and practice an anti-discrimination policy.
  • Execute all other lawful activities that are incidental and conductive to the attainment of the objects.
MEMBERSHIP:
  • The minimum age for applying for membership will be 6 years.
  • Any individual whose aims are in keeping with the club can apply
  • Membership fees and enrolment categories will be decided each year at the Annual General Meeting and will be due for payment by June of each year.

Membership of the club will bring automatic enrolment in one of the age categories

  • Junior Section           Under 12 years
  • Youth Section           12-18 years
  • Adult Section          19 years and over
  • Honorary Member status will be given to the club who has held membership     for 20 years or has, in anyway, contributed to the success of the club.  
  • This will be ratified at the Annual General Meeting.

MEETINGS:

  • The Annual General Meeting will take place in June of each year
  • A quorum for the Annual Meeting will be members and quorum for Committee Meeting will be at 5.
  • The General Committee will meet monthly once per calendar month.
  • The Executive will meet monthly once per calendar month.
  • A special General Meeting will be held when and if required as is specified in the Constitution.

Annual General Meeting

At least 21 days notice must be given to all members

The Annual General Meeting will be held in June of each year for the purpose of:

  • Receiving an annual report of the club activities.
  • An Extraordinary General Meeting may be held when the committee's decides or is in receipt of a request signed by at least 20 members stating the purpose of the meeting.
  • At least 14 days notice must be given to all members.

MANAGEMENT

  • A committee of 20 members will be elected at the General Annual Meeting to carry out management of the group.
  • A committee shall include a Chairperson, Vice Chairperson, General Secretary and Treasurer and shall serve for a period of three years. Nominees for these executive positions must have been club members for at least 3 years prior to nominations and any such nominations must be given in writing 14 days prior to the Annual General Meeting.
  • Vacancies on the committee will be filled by co-option.
  • In the annual event of a vacancy among the office bearers the committee shall appoint from their members an interim office bearer who fits the relevant criteria until the next General Meeting.
  • The committee has the power to withdraw membership or deal otherwise with any member in breach of the Aims, Code of Conduct or Constitution of the club.
  • The committee shall have the power to deal with matters not specifically provided for in the Constitution of such urgency as would preclude the calling of an Extraordinary General Meeting provided their action is reported to the members at the next Committee Meeting.

ALTERATIONS TO THE CONSTITUTION

  • Any proposals to the alter the Constitution must be delivered in writing to the General Secretary not less than 28 days prior to the Annual General Meeting or a Special General Meeting called for that purpose.
  • A two-thirds majority of those present and entitled to vote at a General Meeting of the club will be required for approval of amendments.
  • Any changes in the Constitution must be made in consultation with the Inland Revenue.

RULES AND PROCEDURES

  • Every new member will receive a copy of the relevant procedures, code of conduct and/or guidelines.
  • Members must be 19 years of age before eligible to vote.
  • Voting at Committee Meetings will be decided on a simple majority.   No member shall exercise more than one vote. The chairperson shall have a second or casting vote.
  • A minute shall be kept of the Annual General Meetings and other committees in which the General Secretary shall enter a record of all proceedings and resolutions.
  • All decisions made by the committee will stand for 6 months, except if representation is made from the members to hold an Extraordinary General Meeting.

FINANCE

  • The financial year shall run from June to July of the consecutive year.
  • Money will be   lodged in a bank account in the name of the club.
  • The responsibility for the account and all financial transactions will be vested in the Treasurer and three other signatories on the bank account must be office bearers.
  • The treasurer must maintain proper books and records.
  • The Annual Statement of Accounts shall be audited by an independent examiner and presented to the membership at the Annual General Meeting.
  • The committee has the power to authorise expenditure on behalf of the club.
  • All monies raised by the club will be applied to the purposes detailed in this constitution with no portion of income paid or transferred directly or indirectly by way dividend, bonus or otherwise by way of profit to any member of the organisation.
  • No member appointed to salaried or fee paid office, no renumeration, money or monies except reimbursement out of pocket expenses.
DISSOLUTIONThe club can be dissolved at anytime by resolution, which has been passed at one of its meetings. The resolution must be voted for by at least two thirds of those present at an Extraordinary General Meeting. All members shall be notified of the resolution with 20 days notification. Any assets that remain after settling the clubs debts and liabilities will be given to or transferred to one or more other charitable organisations with similar charitable objects or returned to the respective funding bodies.
